Please read these Terms of Service ("Terms") carefully before accessing or using the website located at https://guerillajewelry.com/ (the "Site") or placing any order with Guerilla Choice LLC. By accessing the Site, creating an account, or completing a purchase, you agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not use the Site or purchase any products.

These Terms constitute a legally binding agreement between you ("Customer," "you," or "your") and Guerilla Choice LLC ("Company," "we," "us," or "our"), a Wyoming limited liability company registered at 30 North Gould Street, Sheridan, WY 82801, United States.

 

1. DEFINITIONS

For the purposes of these Terms of Service, the following definitions apply:

•       "Site" means the e-commerce website operated by Guerilla Choice LLC, accessible at https://guerillajewelry.com/.

•       "Products" means all jewelry items, accessories, and goods offered for sale on the Site, including but not limited to rings, necklaces, bracelets, earrings, and pendants made from sterling silver, solid gold, stainless steel, lab-grown diamonds, and natural gemstones.

•       "Order" means any purchase transaction initiated by a Customer through the Site.

•       "Customer" means any individual or entity who accesses the Site, creates an account, or places an Order.

•       "Account" means a registered user profile created on the Site.

•       "Lifetime Warranty" means the manufacturing defect warranty offered by the Company as described in the separate Lifetime Warranty Policy published on the Site.

•       "Content" means all text, images, graphics, logos, product descriptions, videos, and other materials available on the Site.

•       "Intellectual Property" means all trademarks, service marks, trade names, logos, patents, copyrights, and other proprietary rights owned or licensed by the Company.

•       "Third-Party Services" means payment processors, shipping carriers, and other external service providers used by the Company in connection with the Site.

•       "Prohibited Content" means any content submitted by users that is unlawful, defamatory, obscene, offensive, infringing, or otherwise objectionable as determined by the Company in its sole discretion.

 

2. ACCEPTANCE OF TERMS AND ELIGIBILITY

2.1 Acceptance

By using the Site in any manner, including browsing, registering an Account, adding items to a cart, or completing a purchase, you confirm that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, our Refund & Return Policy, and all other policies published on the Site, all of which are incorporated herein by reference.

2.2 Age Requirement

You must be at least eighteen (18) years of age to use the Site or place an Order. By using the Site, you represent and warrant that you meet this age requirement. The Company reserves the right to request proof of age and to cancel any Order placed by a person who does not meet this requirement.

2.3 Capacity to Contract

By placing an Order, you represent that you have full legal capacity to enter into a binding contract and that all information you provide is accurate, current, and complete. If you are placing an Order on behalf of a business or legal entity, you further represent that you are authorized to bind that entity to these Terms.

2.4 Geographic Availability

The Site is accessible worldwide. However, certain products may not be available in all jurisdictions due to legal restrictions, export controls, or logistical limitations. The Company reserves the right to restrict access to or refuse Orders from any geographic region at its sole discretion and without prior notice.

 

3. ACCOUNT REGISTRATION AND SECURITY

3.1 Account Creation

Certain features of the Site, including order tracking and account history, may require you to create an Account. You agree to provide accurate, current, and complete information during registration and to update that information as necessary to keep it accurate.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your Account credentials, including your username and password. You agree to notify the Company immediately at hello@guerillajewelry.com if you suspect any unauthorized use of your Account. The Company will not be liable for any loss or damage arising from your failure to safeguard your Account credentials.

3.3 Account Termination

The Company reserves the right to suspend or terminate your Account at any time, with or without notice, for any reason, including but not limited to breach of these Terms, fraudulent activity, or chargebacks. Upon termination, all licenses granted to you under these Terms will immediately cease.

3.4 Single Account Policy

Each Customer may maintain only one Account. The creation of multiple Accounts for the purpose of circumventing restrictions, obtaining multiple promotional discounts, or any other fraudulent purpose is strictly prohibited and may result in cancellation of all associated Orders and permanent suspension.

 

4. PRODUCTS, PRICING, AND AVAILABILITY

4.1 Product Descriptions

The Company endeavors to ensure that all product descriptions, images, and specifications on the Site are accurate. However, the Company does not warrant that product descriptions are error-free, complete, or current. Product images are for illustrative purposes only and may not perfectly represent the actual product, including variations in color, texture, or finish due to photography lighting and screen display settings.

4.2 Material Disclosure

All Products are described with their material composition, including karat weight of gold (14K or 18K), metal type (sterling silver 925, stainless steel, solid gold), and gemstone origin (natural, lab-grown, or lab-created) where applicable. Lab-grown diamonds and gemstones are identical in physical and chemical composition to naturally mined stones but are produced in a controlled environment. Customers should review all product specifications prior to purchase.

4.3 Pricing

All prices displayed on the Site are in the currency applicable to the Customer's selected region. Prices are subject to change without notice. The price applicable to an Order is the price displayed at the time the Order is confirmed, not the time of browsing. The Company reserves the right to correct pricing errors at any time, including after an Order has been placed, and may cancel affected Orders accordingly.

4.4 Taxes and Import Duties

Prices displayed on the Site may or may not include applicable taxes depending on the Customer's location. International Customers are responsible for all import duties, customs fees, tariffs, and value-added taxes (VAT) imposed by their country of destination. The Company is not responsible for delays or additional costs caused by customs processing. Customers are encouraged to consult their local customs authority for applicable rates prior to placing an Order.

4.5 Availability

All Products are subject to availability. The Company does not guarantee that any Product will remain in stock. If an ordered Product becomes unavailable after Order confirmation, the Company will notify the Customer and offer a full refund, a substitute product of equal value, or a backorder arrangement at the Company's discretion.

4.6 Promotional Offers and Discount Codes

Promotional discounts, sale prices, and discount codes are valid only for the stated period and subject to stated conditions. Promotional pricing cannot be applied retroactively to completed Orders. Discount codes are non-transferable, cannot be combined with other offers unless explicitly stated, and have no cash value. The Company reserves the right to modify or cancel any promotion at any time without prior notice.

 

5. ORDERING PROCESS AND CONTRACT FORMATION

5.1 Placing an Order

By clicking the "Checkout" or equivalent button and completing the payment process, you are submitting a binding offer to purchase the selected Products subject to these Terms. An Order is not confirmed until you receive an Order Confirmation email from the Company.

5.2 Order Confirmation

Upon successful payment processing, the Company will send an Order Confirmation email to the email address provided at checkout. This email constitutes acceptance of your Order and forms a binding purchase contract. It is your responsibility to ensure that the email address provided is correct and that the Order Confirmation email is not filtered as spam.

5.3 Right to Refuse or Cancel Orders

The Company reserves the right, at its sole discretion, to refuse, limit, or cancel any Order for any reason, including but not limited to:

•       Suspected fraudulent activity or unauthorized use of payment methods.

•       Pricing errors or inaccuracies on the Site.

•       Product unavailability.

•       Inability to verify the Customer's identity or payment information.

•       Violations of these Terms or applicable law.

If an Order is cancelled after payment has been processed, the Company will issue a full refund to the original payment method within fourteen (14) business days.

5.4 Order Modifications

Once an Order has been submitted, modifications may not be possible. Customers wishing to modify an Order must contact the Company immediately at hello@guerillajewelry.com. The Company will make reasonable efforts to accommodate modification requests but cannot guarantee that changes can be made after Order processing has begun.

 

6. PAYMENT TERMS

6.1 Accepted Payment Methods

The Company accepts payment via Stripe, PayPal, Klarna, and other methods as displayed at checkout. Payment methods may vary by region. All transactions are processed by third-party payment processors and are subject to their respective terms and conditions.

6.2 Payment Authorization

By submitting an Order, you authorize the Company (through its payment processor) to charge the full amount of the Order, including applicable taxes and shipping fees, to your designated payment method. If payment is declined or returned for any reason, your Order will not be processed.

6.3 Currency

Transactions are processed in the currency applicable to the Customer's selected region. Currency conversion rates, if applicable, are determined by the Customer's payment provider and are beyond the Company's control.

6.4 Security

The Company does not store, process, or have access to your full payment card details. All payment data is handled directly by PCI DSS-compliant third-party payment processors. For additional information on payment security, please refer to our Payment Security page on the Site.

6.5 Chargebacks and Disputes

If you believe a charge on your account is unauthorized or incorrect, you should first contact the Company at hello@guerillajewelry.com to resolve the matter before initiating a chargeback with your financial institution. Initiating a chargeback without first contacting the Company may result in Account suspension and referral to collections. The Company reserves the right to dispute any chargeback and to provide all relevant Order documentation to the applicable financial institution.

 

7. SHIPPING AND DELIVERY

Shipping terms, estimated delivery times, carrier information, and policies regarding lost or damaged shipments are governed by the Company's Shipping Policy, which is published separately on the Site and incorporated herein by reference. By placing an Order, you acknowledge and agree to the terms of the Shipping Policy.

The Company offers free worldwide shipping on all Orders exceeding the stated threshold. Free shipping thresholds and applicable regions are subject to change at any time. Risk of loss and title to Products pass to the Customer upon delivery to the shipping carrier.

 

8. RETURNS, REFUNDS, AND EXCHANGES

The Company's Refund & Return Policy governs all returns, exchanges, and refund requests and is published separately on the Site. By placing an Order, you agree to the terms of the Refund & Return Policy. In summary, the Company offers a thirty (30) day return and exchange window from the date of delivery, subject to conditions specified in that policy.

The Lifetime Warranty provided by the Company covers manufacturing defects and is separate from the standard return policy. Full warranty terms are available in the Lifetime Warranty Policy published on the Site.

 

9. INTELLECTUAL PROPERTY

9.1 Ownership

All Content on the Site, including but not limited to product photographs, descriptions, logos, brand names, graphic design, videos, written materials, and software, is the exclusive property of Guerilla Choice LLC or its licensors and is protected by applicable copyright, trademark, and intellectual property laws in the United States and internationally.

9.2 Limited License

Subject to these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its Content solely for personal, non-commercial purposes. This license does not permit you to copy, reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any Content without the prior written consent of the Company.

9.3 Trademarks

"Guerilla Choice" and associated logos and product names are trademarks or trade names of Guerilla Choice LLC. Unauthorized use of these marks is strictly prohibited and may violate applicable trademark law.

9.4 User-Generated Content

If you submit reviews, comments, photos, or other content to the Site ("User Content"), you grant the Company a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, publish, distribute, and display that User Content in connection with the Company's business, including marketing and promotional purposes, without any obligation to compensate you. You represent and warrant that you own or have the necessary rights to submit such User Content and that it does not violate any third-party rights.

9.5 Prohibited Use

You may not use any automated tool, scraper, bot, or similar technology to access, extract, or index any Content from the Site without express written permission from the Company. Any unauthorized use of the Site's Content or systems may result in legal action.

 

10. PROHIBITED CONDUCT

You agree not to use the Site in any manner that:

•       Violates any applicable local, national, or international law or regulation.

•       Is fraudulent, deceptive, or misleading.

•       Infringes upon the intellectual property or other rights of any third party.

•       Involves the transmission of unsolicited commercial communications (spam).

•       Involves impersonating any person or entity or misrepresenting your affiliation with any person or entity.

•       Involves uploading or transmitting viruses, malware, or any other malicious code.

•       Attempts to gain unauthorized access to any portion of the Site or its related systems.

•       Involves harvesting or collecting personal data of other users without their consent.

•       Interferes with the proper operation of the Site or any connected network.

•       Facilitates any illegal transaction, including money laundering or financing of prohibited activities.

The Company reserves the right to investigate and take appropriate legal action against any person who violates this Section, including reporting to law enforcement authorities.

 

11. DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL PRODUCTS AND SERVICES PROVIDED BY THE COMPANY ARE OFFERED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

The Company does not warrant that: (a) the Site will be uninterrupted, error-free, or free of viruses or other harmful components; (b) the results obtained from using the Site or Products will be accurate or reliable; (c) defects in the Site will be corrected; or (d) any Product will meet your specific expectations beyond the specifications described on the Site.

Nothing in these Terms shall exclude or limit warranties that cannot be excluded or limited under applicable consumer protection law, including the EU Consumer Rights Directive, UK Consumer Rights Act 2015, or equivalent national legislation.

 

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GUERILLA CHOICE LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AFFILIATES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE, ANY ORDER, OR ANY PRODUCT, INCLUDING BUT NOT LIMITED TO LOSS OF PROFIT, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

The Company's total aggregate liability for any claim arising out of or relating to these Terms or any Order shall not exceed the total amount paid by you for the specific Product giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. To the extent such limitations are not permitted under applicable law governing your transaction, the above limitations may not apply to you, and the Company's liability shall be limited to the maximum extent permitted by law.

 

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Guerilla Choice LLC and its members, managers, officers, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Site or any Product; (b) your breach of these Terms; (c) your violation of any applicable law or regulation; (d) any User Content you submit; or (e) your infringement of any third-party rights.

 

14. THIRD-PARTY LINKS AND SERVICES

The Site may contain links to third-party websites, services, or resources that are not owned or controlled by the Company. These links are provided for convenience only. The Company has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party website or service. You acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by your use of or reliance on any third-party content, goods, or services.

The Company's use of third-party payment processors (including Stripe, PayPal, and Klarna), shipping carriers, analytics platforms, and marketing tools is subject to those providers' respective terms and privacy policies.

 

15. GOVERNING LAW AND DISPUTE RESOLUTION

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

15.2 Dispute Resolution — US Customers

For Customers located in the United States, any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in Sheridan, Wyoming. The arbitrator's decision shall be final and binding on both parties. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

15.3 Dispute Resolution — EU and International Customers

Customers located in the European Union retain the right to bring disputes before the competent courts of their country of habitual residence in accordance with applicable EU consumer protection legislation, including Regulation (EU) No 1215/2012. Nothing in these Terms limits your rights under applicable mandatory consumer protection laws in your country of residence.

15.4 Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact the Company at hello@guerillajewelry.com and provide a written description of the dispute, the relief sought, and your contact information. The parties will attempt to resolve the dispute informally within thirty (30) calendar days of such notice.

 

16. EU CONSUMER RIGHTS

If you are a consumer resident in the European Union, the following additional provisions apply:

•       You have the right to withdraw from a distance purchase contract within fourteen (14) days of receiving the Product, without providing any reason, in accordance with EU Directive 2011/83/EU on Consumer Rights. This right is subject to the exceptions and conditions described in the Refund & Return Policy.

•       Statutory rights under applicable EU member state law, including rights related to non-conforming goods, are not limited by these Terms.

•       Any terms in these Terms that would be considered unfair under EU Directive 93/13/EEC on Unfair Terms in Consumer Contracts shall not be binding on EU consumers.

•       The Company is required under EU law to provide a legal guarantee of conformity for all goods sold to EU consumers. This guarantee applies for a minimum of two (2) years from the date of delivery and is separate from the Lifetime Warranty offered by the Company.

 

17. PRIVACY AND DATA PROTECTION

The collection, use, and storage of your personal data is governed by the Company's Privacy Policy, published separately on the Site and incorporated herein by reference. By using the Site, you consent to the data practices described in the Privacy Policy. If you are located in the European Economic Area (EEA), the Privacy Policy provides additional information regarding the legal basis for processing your data and your rights under the General Data Protection Regulation (GDPR).

 

18. FORCE MAJEURE

The Company shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, governmental actions, war, civil unrest, terrorism, labor disputes, supply chain disruptions, power outages, internet failures, or failures of third-party service providers. In the event of a force majeure event, the Company will make reasonable efforts to notify affected Customers and to resume normal operations as quickly as practicable.

 

19. MODIFICATIONS TO TERMS

The Company reserves the right to modify these Terms at any time. Material changes will be communicated to registered Customers via email or by posting a notice on the Site. The updated Terms will be effective upon the date indicated in the revised document. Your continued use of the Site following the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must cease using the Site.

 

20. SEVERABILITY

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or, if modification is not possible, it shall be severed from these Terms. The remaining provisions of these Terms shall continue in full force and effect.

 

21. WAIVER

The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of the Company to be effective.

 

22. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy, Refund & Return Policy, Shipping Policy, Cookie Policy, Lifetime Warranty Policy, and any other policies published on the Site, constitute the entire agreement between you and Guerilla Choice LLC with respect to your use of the Site and supersede all prior and contemporaneous agreements, representations, and understandings relating to the same subject matter.

 

23. ASSIGNMENT

You may not assign or transfer any of your rights or obligations under these Terms without the prior written consent of the Company. The Company may freely assign its rights and obligations under these Terms to any affiliate, successor, or acquirer of all or substantially all of its business assets.
